Terms of Service

1. Acceptance of terms

By creating an account or using CatalogRelay ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

CatalogRelay is a SaaS platform that imports product data from supplier feeds, normalizes it, applies pricing and stock rules, and exports it to e-commerce platforms including Magento 2, Shopify, and WooCommerce.

3. Account registration

You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.

One account may have multiple users with different roles. The account owner is responsible for all users on the account.

4. Plans and billing

The Service is offered on the following plans: Free, Lite, Plus, Scale, and Custom. Plan limits (suppliers, export destinations, SKUs, sync frequency) are described on the Pricing page.

Paid plans are billed monthly or annually in advance. Prices are shown on the Pricing page. We reserve the right to change prices with 30 days' notice to existing subscribers.

Billing is processed by Stripe. VAT is applied where required by applicable law.

Upgrades take effect immediately. Downgrades take effect at the end of the current billing period. No refunds are issued for partial subscription periods.

5. Acceptable use

You may not use the Service to:

  • Import feeds from URLs you do not have authorization to access
  • Violate any applicable law or regulation
  • Infringe intellectual property rights of suppliers or third parties
  • Attempt to probe, scan, or test the vulnerability of the Service
  • Circumvent plan limits through technical means
  • Resell access to the Service without written permission

6. Data ownership

You retain ownership of all data you import into the Service (supplier feeds, product data, configurations). We do not claim any intellectual property rights over your data.

You grant us a limited license to process your data solely to provide the Service as described in our Privacy Policy.

7. Service availability

We target 99.9% uptime for the application. We provide no SLA guarantee except on Custom plans where a separate agreement applies. Scheduled maintenance is announced in advance. We are not liable for downtime caused by Stripe, Hetzner, or Cloudflare outages.

8. Limitation of liability

To the maximum extent permitted by law, CatalogRelay is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue or data arising from service interruption
  • Errors in exported data caused by incorrect supplier feeds or mapping configurations
  • Actions taken by third-party e-commerce platforms

Our total liability to you in any 12-month period is limited to the amount you paid us in that period.

9. Termination

You may cancel your account at any time via the billing portal or by contacting support. On cancellation, your data is retained for 30 days and then permanently deleted.

We may suspend or terminate accounts that violate these Terms, with or without notice. In cases of material breach, suspension may be immediate.

10. Changes to terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.

11. Governing law

These Terms are governed by the laws of the European Union applicable in the country of our registered office. Any disputes shall be resolved in the courts of that jurisdiction.
